Terms of Service

These Terms of Service ("Terms") govern your use of the website at aibizconsult.com and the consulting services and workflow tools provided by AIBIZCONSULT ("AIBizConsult", "we", "us", or "our") (together, the "Services"). By using the website, contacting us, or using tools we provide as part of an engagement, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business, and "you" includes it.

1. The Services

AIBIZCONSULT is an AI workflow consulting practice: we help small businesses turn repeated prompts, website updates, spreadsheets, approvals, documents, content operations, and manual workflows into focused systems. Specific deliverables, fees, and timelines for client work are defined in the written proposal or agreement for each engagement; where an engagement agreement conflicts with these Terms, the engagement agreement controls for that work.

2. Eligibility

The Services are intended for businesses and adults. You must be at least 18 years old (or the age of majority where you live) to engage us or to use client-facing tools we provide.

3. Accounts and client tools

• Access to client-facing tools is provided to authorized users under an engagement. Keep your credentials confidential; you are responsible for activity under your account.
• Notify us promptly at support@aibizconsult.com if you suspect unauthorized use.

4. Connected platforms

• Some Services can connect to third-party platforms to display your own content and performance data. Connecting an account is optional.
• Your use of any connected platform remains governed by that platform's own terms and policies. You are responsible for the content you publish there and for complying with those terms.
• We access data from a connected platform only within the permissions you grant, and we handle it as described in our Privacy Policy and in accordance with the platform's developer terms.
• You may disconnect a platform at any time. AIBIZCONSULT is an independent business; it is not affiliated with, endorsed by, or sponsored by any platform.

5. Acceptable use

You agree not to:

• Use the Services for anything unlawful, deceptive, or fraudulent;
• Probe, scan, or test the vulnerability of the Services, or interfere with their operation;
• Access the Services by automated means (scraping, bulk collection) except through interfaces we provide;
• Use another person's account or share access beyond the users authorized for your engagement;
• Submit content, or ask us to prepare content, that infringes intellectual-property rights or violates any third-party platform's terms.

6. Your content and data

You keep ownership of the content, data, and materials you provide to us or connect through a platform. You grant us a limited, non-exclusive license to host, store, process, and display them solely to deliver the Services to you. Deliverables we build for you are governed by your engagement agreement.

7. Our intellectual property

The website, our tools, and our branding are owned by AIBIZCONSULT or its licensors and are protected by intellectual-property laws. Except for rights expressly granted in these Terms or an engagement agreement, no rights are transferred to you. You may not copy, modify, or create derivative works of our tools except as allowed by law.

8. Disclaimers

THE WEBSITE AND TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. CONSULTING ADVICE AND EXAMPLE SYSTEMS ARE NOT GUARANTEES OF BUSINESS RESULTS, AND NOTHING IN THE SERVICES IS LEGAL, FINANCIAL, OR TAX ADVICE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIBIZCONSULT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED US DOLLARS (US $100) IF YOU HAVE PAID US NOTHING. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless AIBIZCONSULT from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of connected platforms, your violation of these Terms, or your violation of any law or third-party right.

11. Termination

You may stop using the website at any time; engagement termination is governed by your engagement agreement. We may suspend or terminate access to tools if you violate these Terms, if required by law, or if we discontinue a tool. Sections that by their nature should survive termination (including Sections 6 through 12) survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Orange County, Florida, and you consent to their jurisdiction. Nothing in this section limits rights you have under mandatory consumer-protection law where you live.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above, and for material changes we will provide additional notice on this website or by email. Continued use of the Services after a change means the updated Terms apply.
